Under this Agreement, one party, FOP Taranoivskyi Serhii Vladyslavovych – the Seller, on the one hand, and any person who accepts the terms of this Public Offer Agreement – the Buyer, on the other hand, hereinafter collectively referred to as the Parties, have concluded this Agreement, addressed to an unlimited number of people, which is the official public offer of the Seller to conclude a sale-purchase agreement of Goods with Buyers, the assortment and detailed information of which is available on the website https://wander.boutique.
Buyers, when purchasing Goods, the assortment and detailed information about which is available on the website https://wander.boutique, accept the terms of this Agreement as set forth below.
1. GENERAL PROVISIONS
1.1. Contractual relations between the Seller and the Buyer are formalized in the form of a Public Offer Agreement.
1.2. The Public Offer Agreement is public, meaning that, according to Articles 633, 641 of the Civil Code of Ukraine, its terms are the same for all Buyers, regardless of status (individual, legal entity, individual entrepreneur). By fully agreeing to this Agreement, the Buyer accepts the terms and procedure for order placement, payment, and delivery of goods by the Seller, and assumes responsibility for non-compliance with the terms of this Agreement.
2. TERMS AND DEFINITIONS
“Public Offer Agreement” – a public contract, the sample of which is posted on the website https://wander.boutique, containing the Seller's proposal regarding the purchase of Goods, the assortment and detailed information about which is on the website https://wander.boutique, addressed to an indefinite number of persons.
“Acceptance” – the Buyer's acceptance of the Seller's proposal regarding the purchase of Goods, the assortment and detailed information about which is on the website https://wander.boutique, by adding them to the shopping cart and sending the Order.
“Buyer” – any capable individual, legal entity, or individual entrepreneur who visited the website https://wander.boutique and intends to purchase any Goods.
“Order” – a duly executed application from the Buyer for the purchase of Goods addressed to the Seller.
3. SUBJECT OF THE AGREEMENT
The Seller undertakes, under the terms and in the manner defined by this Agreement, to sell the Goods based on an Order placed by the Buyer, and the Buyer undertakes, under the terms and in the manner defined by this Agreement, to purchase the Goods and pay for them.
4. ORDER PLACEMENT PROCEDURE
4.1. The Buyer can place an order independently on the Website or by phone with the help of an operator.
4.2. Orders on the Website are automatically accepted 24/7, including on weekends and holidays, provided that the corresponding Goods are available in stock (matching inventory). During weekends and holidays, Orders are accepted automatically by the Website, but will not be processed by the Seller's call center operators. Processing of such Orders takes place on the first working day after the weekend (usually on Monday), in the order of their arrival. The Seller's working hours and call center schedule are posted on the Website.
4.3. To place an Order via the Website, the Buyer needs to:
choose the Goods presented on the Website, select their quantity, and click the button to add them to the shopping cart; the Goods will automatically be added to the "Cart" section;
fill in the required fields in the electronic order form and choose the payment method;
after completing the order, click the "Place Order" button.
4.4. The Order is considered placed and accepted for execution by the Seller if:
after the Buyer completes the order placement actions on the Website, the Seller's call center operator contacts the Buyer by phone to clarify the details of the order and confirms to the Buyer the acceptance of the corresponding order (unless the "Do not call, my order is correct" option is selected);
after the Buyer places the order by phone, the Seller's call center operator confirms to the Buyer the acceptance of the corresponding order for execution.
5. ORDER DELIVERY
5.1. The Goods are delivered by the Seller or third parties engaged by him. The Seller makes attempts to contact the Buyer using the contact details provided during the Order placement to clarify information necessary for proper Order fulfillment.
5.2. The territory for delivery of Goods offered on the Website is not limited. Detailed information regarding delivery addresses is provided by phone or email as indicated on the Website.
6. PAYMENT AND RETURN OF GOODS
The payment and return conditions are specified in the Payment and Return Policy posted on the Website.
7. RIGHTS AND OBLIGATIONS OF THE PARTIES
Under this Agreement, the Seller undertakes to sell the Goods presented on the Website according to the properly placed Order by the Buyer and the terms of this offer, and the Buyer undertakes to accept and pay for the Goods ordered.
8. LIABILITY OF THE PARTIES
If the Parties fail to perform or improperly perform their obligations under the Agreement, they shall be liable in accordance with the applicable law and this Agreement.
9. DISPUTE RESOLUTION PROCEDURE
All disputes that may arise regarding this Agreement or in connection with its performance will be resolved by the Buyer and Seller through negotiations. The pre-trial dispute resolution procedure is mandatory.
10. CONFIDENTIALITY AND DATA PROTECTION
The Buyer consents to the Seller collecting, processing, accumulating, storing, and using their personal data (name, mobile phone number, and other personal data), as well as transferring them to third parties solely for the purpose and within the limits of fulfilling the Seller's obligations under this Agreement.
11. TERM OF THE AGREEMENT
This Agreement is considered concluded when the Buyer completes the order placement and confirms the acceptance of the order for execution by the Seller.
12. COPYRIGHTS
All names, trademarks, symbols, and slogans registered in accordance with the law are the property of their legal owners.
13. FORCE MAJEURE
The Seller is relieved of responsibility for partial or full non-performance of obligations under this Agreement if such non-performance results from force majeure circumstances.
14. ADDITIONAL TERMS
The Seller has the right to assign or transfer its rights and obligations arising from its relations with the Buyer to third parties.
